Terms and Conditions – TBit Ambassador Program

1. Acceptance of Terms

By enrolling and participating in the TBit Ambassador Program, the participant agrees to comply with these Terms and Conditions, as well as with any updates TBit, LLC may make. Any modifications will be notified to participants via email or through the platform.

2. Program Definition

The TBit Ambassador Program is a referral initiative through which individuals or companies can earn commissions for referring new customers who purchase a paid subscription to TBit.

3. Eligibility

To become a TBit Ambassador, you must:

• Be of legal age under the laws of your country of residence.
• Have received a direct invitation or applied and been approved by TBit, LLC.
• Accept and comply with these Terms and Conditions.




4. Referral Mechanism

• Each Ambassador will have a unique referral code or link.
• For a referral to be valid, the customer must register using the Ambassador’s code or link.
• The commission will be generated only when the customer completes payment for a subscription.




5. Commissions and Payments

• The commission will be the percentage indicated, calculated on the net value of the subscription purchased by the referred customer, and this amount will be reflected on the platform.
• Commissions will be paid for a maximum period of two (2) years for each active referred customer. This period starts from the first subscription.
• We use a split payment system, whereby the commission is transferred directly to the Ambassador at the time of the customer’s payment. TBit, LLC is fiscally responsible only for the remaining amount received.
• All payments will be subject to applicable tax laws in the Ambassador’s country and may require the issuance of invoices or equivalent documents.




6. Ambassador Obligations

The Ambassador agrees to:

• Represent TBit ethically, honestly, and professionally.
• Avoid misleading marketing practices, spam, or unauthorized use of trademarks.
• Provide accurate information about TBit’s features, prices, and conditions.
• Comply with the tax and commercial regulations of their country of residence.




7. TBit, LLC Support

TBit, LLC will provide Ambassadors with:

• Training and guidance for using and promoting the platform.
• Authorized marketing materials.
• Leads and business opportunities at TBit, LLC’s discretion.




8. Special Cases and Contingencies

• If a referred customer requests a refund, TBit, LLC may deduct the proportional amount from the Ambassador’s future commissions.
• If two Ambassadors claim the same referral, the commission will be awarded to the referral code used during the customer’s initial registration.
• TBit, LLC may withhold payments if there are internal investigations regarding non-compliance with the terms.
• In the case of prolonged inactivity (more than 6 months without new referrals or customer management), TBit, LLC may terminate the Ambassador’s participation.




9. Limitation of Liability

TBit, LLC will not be liable for:

• Income not generated due to the Ambassador’s inactivity or lack of customer management.
• Any third-party claims related to the Ambassador’s actions.
• Losses resulting from payment errors caused by incorrect banking information provided by the Ambassador.

10. Duration and Termination

Participation in the program may be terminated by either party at any time, by written notice.

TBit, LLC may suspend or cancel an Ambassador’s participation in case of non-compliance with these Terms and Conditions.

11. Governing Law

These Terms and Conditions will be governed by the laws of the State of Delaware, USA, without prejudice to the possible application of other laws based on the Ambassador’s place of residence.
